The following Terms and Conditions (hereinafter referred to as “Terms and Conditions“) define general rules of special offers provided by Transfer Multisort Elektronik Sp. z o. o. with registered office at ul. Ustronna 41, 93-350 Łódź (Poland), entered in the register of entrepreneurs of the National Court Register by the District Court for Łódź-Śródmieście, XX Department of the National Court Register (KRS), under KRS number: 0000165815, VAT ID (NIP): 729-010-89-84, REGON: 473171710, initial share capital: PLN 3,300,000 (hereinafter referred to as "TME" or "Organiser"). Special offers provided by TME may in particular include: special prices – i.e. lowering prices of all products or products from a selected category currently offered by TME during the period of validity of such special offer; Special offers shall be provided by the Organiser in accordance with the principles set out in these Terms and Conditions, amended by announcements provided in the "Special offers" section on www.tme.hk website, sent via TME Newsletter, sent via e-mail, or published in other forms. Should a formula of a particular special offer differ from the rules defined in the Terms and Conditions, its conditions shall be defined in a separate terms and conditions document. An announcement of a special offer shall define in particular its character, conditions for participation, timeframe, territorial scope, and the group of TME customers the offer is applicable to. Each special offer has a timeframe provided in its announcement. The Organiser reserves the right to cancel any special offer at any time. A special offer can be used at any time during its period of validity. Participation in special offers is free of charge and voluntary. Participation in special offers is open to business entities (hereinafter referred to as a "Participant"), after satisfying all of the following conditions: They have a customer account in the TME sales system; They have read and accepted in full the provisions of these Terms and Conditions; They have a place of residence or registered office in the territory covered by a particular special offer with limited territorial scope; They are members of a group of TME customers to whom the particular special offer is addressed, in case of special offers applicable only to selected categories of customers; They have satisfied all the conditions of eligibility for a special offer defined in the announcement and in these Terms and Conditions; entering by the Participant and TME into a sales or delivery agreement for goods in TME's offer, and executing such agreements is not prohibited by Polish or international law. Unless the announcement for a special offer states otherwise, special offers are applicable to customers placing orders in any available form. Special offers cannot be combined with one another or with any other discounts, and especially with individual discounts, unless detailed terms and conditions of a given special offer state otherwise. Special prices do not apply to shipping fees, unless the contents of the announcement state otherwise. Sales of goods covered by a special offer by TME is realised in accordance with the conditions published at the TME website www.tme.hk, unless trade cooperation is realised based on individually agreed upon conditions explicitly confirmed by TME in writing. Participation in a special offer is a confirmation that the Participant has read and accepted the announcement of the special offer and these Terms and Conditions. To the extent permitted by the law, legal obligations resulting from these Terms and Conditions are regulated by Polish law. The Organiser reserves the right to alter the provisions of these Terms and Conditions as well as terms and conditions of a particular special offer for a significant reason, providing that such alterations do not infringe rights acquired by the Participants. Any such alterations of the provisions of these Terms and Conditions shall be included in the form of an Appendix to these Terms and Conditions, which shall be an integral part of these Terms and Conditions. Phone and email order: To place an order by phone, please call 0755 8666 0094. Our local team in Shenzhen speaks Chinese, English and Polish. You can also place an order via e-mail [email protected]. Website order www.tme.hk If you visit our website for the first time, or if you do not have your login and password yet, fill in the new Customer registration form and register in our Customers’ database. Please be aware that you can place orders even if you do not have an account on our e-commerce.  If you already have your login data, fill in the login and password fields and confirm with the "Login" button. If you log in to your account you can check: Company Users – if you log in as a Company Administrator you can add a new Contact Person who can place orders on behalf of the Company. If you log in as a Default User, you can only check who is added as Company User. Orders – check the status of previous orders, reorder or just place a new one. [*please note that your previous orders placed on www.tme.eu will not be visible on this e-commerce] Wishlist – add products to the Wishlist. Addresses – check your company’s billing address and add new or edit existing Shipping Addresses. Agreements and Newsletter – check or change all the consents that you gave. Account Information – check or change your account’s data: first name, last name, phone number and password. Change e-mail – you can change your e-mail used to log in to our site, but please be aware that changing your e-mail means changing your login.  Adding products to the cart: To find an appropriate product please use the search engine or browse through groups of products in the “All products” menu. To add a product to the cart, simply click the “Add to cart” button which can be found on the product’s page or the category’s list. If you added products before and after logging in to your account, those carts can be merged after login.  If you add products to your cart after midnight, they will appear in the cart (in the upper right corner of the site), so that you can continue adding new items to your order. Remember that products added to your cart, which you will not order during the day, will be permanently deleted from the cart and moved to a new Wishlist Enter the quantity of the selected product, paying attention to Multiplicity – if there is an information that you can order multiplicity of 100 items, you you can only order the quantity that is multiplied by this number (e.g. 100, 200, 300, etc.). Minimum product quantity, which is specified by the smallest quantity stated for a given product in the price chart (e.g. if a product has Min:3 you cannot order 1 or 2 products), After adding all products to your cart, please click the “Proceed to Checkout” button to go to the next step of your order where you have to select a shipping address. When the address is checked click the “Next” button to check agreements and place an order. Types of payment: the kind of payment for a given order cannot be changed via the website. Please contact our Sales Department if you would like to use some other option; advance payment – if you use this form of payment, after placing your order you will see the window with links to the SixPayments/PayU/BankTranfer payments. You will also be able to print or download the pro forma invoice in the PDF format; transfer X days - after placing your order you will see the order summary. You can create a pro forma invoice at www.tme.hk or contact the TME staff.   Orders for prepayment cannot be combined with other orders. Shipping costs are included in each separate invoice.   Bank Transfer   This is the payment method confirmed after an individual negotiation with the customer. The length of the transfer depends on the value and period of the order in our company.   Each sales document issued by TME has a corresponding bank and account number, and you should transfer the amount you have set. The system offered by the SIX Group guarantees Swiss quality and security of payments.   The SIX Payment Services system supports Visa, MasterCard, Discover, Diners Club and Maestro cards.   This payment system supports transactions in USD (as well as PLN, EUR, GBP, DKK, SEK, BGN) between the customer and the Polish company - Transfer Multisort Elektronik Sp. z o.o.   PayU   PayU is a secure system for express online payments, which works successfully and reliably in many online shops. Three options are available: express transfer, card payment, and BLIK payment.   The PayU system can be used by customers purchasing from Transfer Multisort Elektronik Sp. z o.o. in USD, EUR, PLN.   Currently we are working on launching WechatPay, Zhifubao and Union Pay credit cards. TME issues a sales document to every transaction made. It is always a VAT invoice, but depending on a Customer and a transaction type, there may be the following types of VAT invoices.   Net VAT invoice, containing net prices and goods values. The tax is fixed as a product of value multiplied by rate. This type of invoice is received by Customers with business activity, having legal personality and organization units not having legal personality to which separate regulations grant legal capacity. Issuing a net VAT invoice can depend on providing TME with the documents confirming conducting business activity or holding legal personality.   Gross VAT invoice, the invoices containing prices and values of goods with VAT. This kind of invoices is received by all individual Customers (consumers).   Customers with their head office outside the European Union receive the VAT invoice and the EAD customs document containing a unique MRN number together with the goods. This code should be presented on the European Union’s border. If the goods do not leave the European Union’s customs border within 150 days from the EAD document issuance or if crossing the border is not confirmed by the Border Customs Office, you will be charged with the tax on goods and services (VAT), according to the current rate being in force.

Issuing a complaint does not release the customer from obligation of paying for the invoice for the time of examining the complaint.   RULES FOR RECEIVING AND PROCESSING COMPLAINTS The complaint procedure is conducted in accordance with the law and the seller’s terms and conditions. Do not remove our identification labels from the products. Leave the products in their original packaging and store them according to the manufacturer's instructions. Fill in the complaint form attached to the parcel and send it together with the products, by post, to our address (we do not accept COD parcels). If you are an individual customer (consumer), please contact the Complaints Department at +48 42 645 55 65 before sending the products. In case of positive complaint consideration, as confirmation of the agreement of the conditions between the parties and their implementation a corrective invoice will be issued.   INFORMATION ON PERSONAL DATA Your personal data will be processed for the purpose of exercising your rights under applicable law in connection with a contract of sale, pursuant to Article 6(1)(c) of Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of individuals with regard to the processing of personal data and on the free movement of such data and repealing Directive 95/46/EC. The recipients of your personal data may be entities processing personal data on behalf of the controller in connection with the processing of complaints and may include, among others, IT service providers, courier companies, payment operators, where such entities process data on the basis of an agreement with the controller and only in accordance with the controller's instructions. Your personal data will be retained until the obligation to retain them expires, i.e. for one year after the settlement of the complaint. The provision of personal data is voluntary, but it is necessary for the complaint to be filed and processed.

Revoking the consent for processing personal data by TME means that the User resigns from receiving the TME Newsletter service defined in these Regulations. To remove your e-mail address from the mailing list, follow the procedure described in section 5. In order to ensure high quality of services, TME has prepared the Privacy Policy containing information on i.a. the conditions for processing personal data by TME. Your data will be transferred to People’s Republic of China, where TME’s Chinese subsidiary – ­ Shenzhen TME Electronic Trading Company Ltd., has its seat. The European Commission has not determined, that People’s Republic of China offers an adequate level of data protection. Therefore, we adopted appropriate safeguards within the meaning of article 46 of GDPR, by signing with Shenzhen TME Electronic Trading Company Ltd. standard data protection clause adopted by the Commission in accordance with the examination procedure referred to in article 93 (2) of GDPR. To be able to use the TME Newsletter service, the Service User is required to have an active and properly configured e-mail account, and a computer with access to the Internet. Each issue of the TME Newsletter includes: Information on TME as the sender The contents Information on cancelling the TME Newsletter service The Service User who decides to subscribe to the TME Newsletter agrees to receive marketing materials via electronic means in accordance with Art. 8.1 of the Act of 18 July 2002 on provision of services by electronic means (Journal of Laws of 2002, No 144, Item 1204, as amended) in the form of TME Newsletter. The contents of the Newsletter is protected by law, and Subscribers are not authorised to use it for any other purpose than to get acquainted with the contents. 5. Cancelling the TME Newsletter service The Customer can at any time cancel the TME Newsletter service. The agreement for the provision of the TME Newsletter service can be terminated in the following manner. a) on one's own, by removing Subscriber's e-mail address from our mailing list For this purpose:  Go to one of the web service: tme.hk Go to the homepage: In the "Your e-mail" field enter the address you want to remove After proceeding to the details section, in the field provided enter captcha codes, choose that you want to unsubscribe Newsletter and click “send” button After logging in go to the Newsletters section on the "Your account" tab Choose that you want to unsubscribe Newsletter and click “send” button After that click the link provided in the e-mail message, results in the removal of the indicated e-mail address from the TME Newsletter subscriber database b) by submitting a request for removal of an e-mail address to [email protected]. To do that, the Subscriber needs to send the request for removal using the address that is to be removed. 6. Complaint procedure The TME Newsletter Subscriber is entitled to submitting a complaint in relation to the TME Newsletter service. Complaints shall be sent via e-mail to: [email protected] , no longer than within 7 days from the date of the event serving as the basis for the complaint. Complaints submitted after that date shall not be considered by TME. A complaint shall include: e-mail address of the person submitting the complaint (to which the response shall be sent), the contents of the complaint with explanation, and a proposed solution of the situation. Complaints shall be addressed within 14 days from the date of receipt. Response to a complaint shall be sent to the e-mail address used for submitting the complaint. 7. Final provisions These Regulations enter into force on the day of their publication on TME website. TME may introduce changes to these Regulations at any time, in particular to update the contents to reflect any changes in the procedures adopted by TME. Any changes introduced in these Regulations become binding upon publication on TME webpage. TME reserves the right to terminate the agreement for the provision of the TME Newsletter service concluded with the Subscriber, subject to seven days' notice. Should the Subscriber breach the provisions of these Regulations or applicable law, TME is authorised to immediately cease provision of the TME Newsletter service. Any legal relations arising from the Regulations are governed by Polish law. Any disputes shall be settled by the competent common courts. Use of personal data 1) Personal data may be transferred to other parties, also to parties that will process it on their own behalf, including but not limited to: parties conducting postal or courier activities; banks and payment intermediaries (depending on the payment method chosen by the Customer) – for undue payment recovery purposes; payment intermediaries (if the Customer chooses this payment method) – for the purpose of making payments; government authorities or other entities entitled by law, for the purposes of performing our obligations (tax offices, law enforcement agencies, etc.); parties managing our IT systems (hosting companies, IT service providers); parties providing us with legal counsel, accounting, tax, claim collection, and advisory services; Shenzhen TME Electronic Trading Company Ltd. – Company’s Chinese subsidiary, which supports Company in handling any activities undertaken by customers through Company’s website at www.tme.hk, including account registration, preparing quotations, processing orders, tracking shipments and potential complaints regarding ordered products. 2) Data collected via a Customer directly contacting the Company through the website is used solely for the purposes of communications with that Customer and responding to their queries.   4. Rights related to the processing of personal data 1) You have the right to access, correct, and transfer your data, restrict its processing, object to its processing, or withdraw your consent at any time without affecting the lawfulness of processing that was already performed on the basis of consent prior to its withdrawal (if the processing is consent-based). Moreover, should you decide that our processing breaches the provisions of GDPR, you have the right to submit a complaint to a data protection authority (the Personal Data Protection Office).   5. Retention of personal data We will retain your personal data for the duration of a contract (performance of services) and after its dissolution: data included in contracts – stored until the limitation period for contract claims (up to 10 years from the date of contract completion); for the purposes required under applicable law, in particular the obligation to retain accounting documentation, issue invoices, etc.; warranty and complaint-related documentation shall be stored for 1 year after the expiration of a warranty or clearing a complaint; data transferred in a contact form – for the limitation period of possible claims (up to 3 years); data used for marketing purposes: when processing data on the basis of consent: until withdrawal of such consent or end of marketing activities; when processing data on the basis of legitimate purposes of TME: until submittal of an objection to processing or end of marketing activities.   6. Data safety 1) The Company and its subsidiaries use appropriate security measures to ensure the collected personal data is safe from unauthorised access, alteration, public disclosure, and destruction. Those security measures include both technical solutions included within the service itself, such as e.g. appropriate encryption of data transmitted over the Internet, strict control of physical access to the computers and data storage media containing personal data, and application of and adherence to proper procedures of storing and handling personal data. All persons processing personal data of Customers for purposes related to the TME website have appropriate permissions issued by the Data Administrator and undergo regular data protection training. 2) The Company creates backup copies of personal data of its Customers, and may use other similar measures in order to protect that data from accidental damage or destruction. 3) Credit card and online payments are handled by PayPal and PayU. Those services are responsible for all data disclosed in their forms, which are also protected with appropriate technical safeguards.   8. Data collection via cookies 1) Some pages within the TME website may use cookies – small text files sent to the hard drive of the Customer device that identify a particular Customer in a way that lets us collect information about their visits to the website, as well as store their preferences such as e.g. language settings of the login page. Cookies do not enable processing or storage of personal data. The same applies to all persons visiting the TME website who are not registered users. 2) Cookies are used to adjust the TME website's contents to preferences of each user. They are also used to generate anonymous statistics that let us understand the ways in which users use our website. Free newsletter subscription (TME Newsletter) 1) Newsletter is a free of charge service which provides Customers who added themselves to a subscribers list with information on the offering of the Company and its subsidiaries, events, and any other information related to the trading business of the Company and its subsidiaries, by regular distribution of selected contents in the form of an electronic letter. 2) To sign up to a newsletter subscribers list, you need to check an appropriate box on the homepage of the TME website to provide consent to receiving a free newsletter ("Add"), and enter your e-mail address. Alternatively, you can check an appropriate box in the registration form. Selecting the box is not required. Information collected this way is added to the mailing list. 3) The Customer who decides to subscribe to the TME Newsletter agrees to receive marketing materials via electronic means in accordance with Art. 8.1 of the Act of 18 July 2002 on provision of services by electronic means (Journal of Laws of 2002, No 144, Item 1204, as amended) in the form of TME Newsletter. 4) Contact information of Customers who signed up to the service in order to gain access to the Newsletter is used exclusively for the purpose of sending Newsletters to those Customers. 5) The Customer can at any time resign from the Newsletter service by checking an appropriate box on the homepage of the TME website to revoke consent to receiving a free newsletter ("Remove").   11. Links to external websites The TME website may include links to different websites, provided for the information and convenience of the Customer. The Company is not responsible for any information provided nor Privacy Policies applied by those websites. The Customer should be aware that such websites are separate from the TME website, and each time should verify on their own the Policy of each website visited with the use of any such link.   12. Final provisions 1) The Company may introduce changes to this Privacy Policy at any time. Rights related to personal data processing You have the right to access, rectify, delete, limit the processing of, transfer, object to the processing of and withdraw your consent to the processing of your personal data at any time, which shall not affect the lawfulness of processing based on consent before its withdrawal (provided that the processing is based on consent).
